As used in this terms and conditions, the following terms have the following meanings respectively. Words given in the singular also may be construed in their plural sense or vice versa if the context so requires

"Offer21.com" and/or "this site" means the site owned and operated by Fusion Korea incorporated under the laws of Republic of Korea.

"We" or "Us" means Fusion Korea as described in above line.

"You" and/or "users" means any individual or business entity who is using this site.

"Member" means any individual or business entity who has completed the Offer21.com membership registration process based on the terms and conditions of this site.

"VIP member" or "Fee based member" means any individual or business entity who has successfully made his/her payment based on the payment process stated in this site.

"Service" means any of information and utilization provided by us in Offer21.com.

"Fee-based services" means any of information and utilization provided by us in Offer21.com with fee based.

Acceptance of terms and conditions
 

Completing the member registration process means that you already have entered into this section and agreed all the terms and conditions stated hereof. If you do not agree, you must not join as a member of this site or discontinue using the service provided by Offer21.com if you already joined as a member. We reserve the right to change this terms and conditions regarding the use of service at any time without prior consent from the members. Your continued use of the service will signify your acceptance of the changed terms and conditions as well.

Any material, offers, catalogs, companies and so on presented in this site is without warranties. Any information on this site may be inaccurate, incomplete or out of date. We make no commitment to correct or update the materials, and do not check and/or control the content of any information and services or any products or services that may appear on this site. Rules for using this site
 

First of all, you represent and warrant to us that you are at least eighteen (18) years old and that you possess the legal right and ability to enter into this terms and conditions and to use this site in accordance with this terms and conditions.

As a user of Offer21.com, you agree that you will: (a) not provide/list any false information about yourself, your company and your commodity on our websites, (b) not violate any law or infringe the copyright, trademark, patent or other intellectual property rights of other companies, (c) not be false, defamatory, threatening, harassing, libelous, indecent and obscene, (d) not do anything to damage the reputation and operation of this site such as by sending any computer virus and time bomb, conduct spamming through this site or having any misconduct that are intended to damage any system of Offer21.com, (e) not post any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous items, that may be invasive of another's privacy, hateful, racially, ethnically or otherwise objectionable and (d) grant us full right (exclusive, worldwide and royalty free) to use, reproduce, modify, republish, post, broadcast, transmit in any way, or download to process or compile your information for other purposes and media.
 

VIP Membership or Any other Fee based membership
 

In order to join as a VIP member and/or Fee based member of Offer21.com, you agree to pay the annual membership fee, set forth in the site, using a telegraphic transfer and/or valid credit card which we accepts. We also reserve the right to increase membership fee or to institute new fee at any time with a notice on this site.  If you want to cancel or cancel during your membership period after your payment of annual membership fee, we will not refund the said fee at any reason regardless of the unused months of your membership. For the purposes of identification and billing, you agree to provide us with accurate, complete, and updated information, including your legal name, address, telephone number(s), and applicable payment data (e.g., credit card number and expiration date). You may check your current registration data here and, if data is not correct, please correct or update your data. Failure to comply with this provision (including without limitation falsification of any registration Data) may, at our option, result in immediate suspension or termination of your membership to use the fee-based services.
* Non-assignment of your membership
You agree not to assign, transfer or sublicense your rights as a VIP member and/or Fee based member of Offer21.com.
 

Membership Termination
 

Members can elect to terminate his/her membership with Offer21.com at any time, by sending email from his/her registered email including his/her ID, user name and password. However, upon termination, member’s account information will not be removed entirely from Offer21.com.

And, in case any member breaches this terms and conditions, we reserve the right to immediately terminate his/her membership for any reason whatsoever with or without notice. We also reserve the right to restrict, suspend or terminate your access to our services, regardless of free or fee-based services, in whole or in part, without notice, with respect to any breach or threatened breach of any portion of this terms and conditions.
 

Disclaimer and Indemnification
 

Information, services, products, and materials contained in this site, including, without limitation, text, graphics, and links, are provided on an "as is" basis with no warranty. To the maximum extent permitted by law, we disclaims all representations and warranties, express or implied, with respect to such information, services, products, and materials, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, freedom from computer virus, and implied warranties arising from course of dealing or course of performance.

Also, you hereby agree to indemnify, defend and hold harmless us from and against any and all liability and costs incurred by us in connection with any claim arising out of any breach or alleged breach of any of your obligations set forth herein. You shall cooperate as fully as reasonably required in the defense of any claim.
 

Governing law and Dispute Resolution
 

The validity, performance, construction and effect of this terms and condition shall be governed exclusively by the laws of the Republic of Korea without recourse to any principles of conflict of laws. Also, in case of any controversy, dispute, claim, or similar matter arising out of, resulting from, or in connection with this terms and conditions or a breach hereof, the parties shall seek to resolve the matter amicably through discussions between themselves. Should such efforts be unavailing, and the parties fail to resolve such case, controversy, dispute, claim, or similar matter within sixty(60) days, the parties shall resolve such dispute through arbitration in Seoul, Korea in accordance with the Commercial Arbitration Rules of the Korean Commercial Arbitration Board.  The arbitration shall be conducted in English and the decision rendered therein shall be final and binding upon the parties.

Also, we will not interfere or become involved in any transactions between members. All transactions will be the responsibility of the members only
 

Entire Agreement
 

This Agreement constitutes the entire agreement between you and us with respect to the site and, if applicable, the Fee-Based Services and supersedes all prior agreements between you and us. Failure by us to enforce any provision of this agreement shall not be construed as a waiver of any provision or right
